Wholesale Terms of Sale
These general terms explain how trade access, quotations and wholesale orders work. An accepted quotation, order confirmation or supply agreement may include additional order-specific terms.
These Wholesale Terms of Sale (“Terms”) apply to business purchases from Qian Heritage by retailers, museum stores, institutions, interior designers, corporate-gifting buyers and other approved trade customers (“Buyer”). They do not create consumer checkout rights and the website itself does not accept or complete orders.
Unless the quotation identifies another approved arrangement, the Seller is:
- International orders: EZLRN LLC, Wyoming entity ID 2026-001973299; registered office at 30 N Gould St Ste R, Sheridan, WY 82801, USA.
- China domestic orders: 贵州易思学文化有限公司, Unified Social Credit Code 91520900MACT6B1B4P; registered at 贵州省贵安新区马场镇综合保税区电商科创园B栋8楼104号, China.
1. Trade eligibility and account approval
Wholesale access is intended only for genuine businesses and professional buyers. We may request a business website, resale or tax information, trading address, references or other information reasonably needed to review an application. Submitting an application does not guarantee approval, exclusivity, credit terms or product allocation. We may accept, decline, suspend or close an account where reasonably necessary.
2. Product information and handmade variation
Descriptions, photographs, dimensions, colours and samples are provided as accurately as reasonably possible. Because products are handmade and may use natural, reclaimed or hand-dyed materials, minor variations in colour, pattern, texture, dimensions and finish are part of the character of the work and are not automatically defects. Material variations that materially affect a confirmed specification will be discussed where reasonably practicable.
3. Pricing, minimums and taxes
Wholesale prices, suggested retail prices, minimum order values, collection minimums, case packs and currency are shown in the current line sheet or quotation and may change before an order is accepted. Unless the quotation states otherwise, prices exclude shipping, insurance, customs charges, duties and applicable taxes. The Buyer is responsible for providing valid resale, exemption or tax documentation where relevant.
4. Quotations and formation of an order
A website inquiry, application, line sheet or conversation is not a confirmed order. A purchase order submitted by the Buyer is an offer to purchase. An order becomes binding only when Qian Heritage issues written acceptance, an order confirmation, an accepted quotation or an invoice that confirms the products, quantities, pricing and applicable terms. If documents conflict, the accepted quotation or order confirmation takes priority for that order.
5. Payment
Unless the accepted quotation states otherwise:
- Ready-stock orders require payment in full before dispatch.
- Made-to-order or customised orders require a 50% non-refundable production deposit, with the remaining 50% due before dispatch.
- Net 30 or other credit terms are not available by default and apply only when separately approved in writing for a specific Buyer.
Currency, accepted payment method and bank charges are confirmed in the quotation or invoice. Production or dispatch may be held until required payment, documentation or account information is received. Overdue amounts and collection costs are handled only as permitted by the accepted order terms and applicable law.
6. Availability, production and changes
Ready stock is subject to prior sale. Made-to-order lead times are estimates based on artisan capacity, materials and order quantity. We will communicate material delays or availability changes and may propose a reasonable substitute, revised timeline, partial shipment or cancellation of an unavailable line. The Buyer may not change or cancel an accepted made-to-order or customised order unless Qian Heritage agrees in writing, including any resulting cost or schedule change.
7. Shipping, delivery, title and risk
Dispatch timing, carrier or freight method, shipping charge, delivery destination, insurance, customs treatment, transfer of title and transfer of risk are confirmed in the accepted quotation or order documentation. Delivery dates are estimates unless expressly agreed as fixed in writing. The Buyer is responsible for providing accurate delivery information and arranging safe receipt of the shipment.

8. Inspection, claims and returns
The Buyer must inspect goods promptly after delivery. Shortage, incorrect item, visible defect or transit-damage claims must be sent within 5 business days after delivery and include the order reference, affected SKU and quantity, photographs of the product and packaging, and any other information reasonably needed to assess the claim. A carrier or concealed-damage deadline stated in the quotation may require earlier notice. Do not return goods without written authorisation and return instructions.
Made-to-order or customised work is normally final sale unless damaged, defective or incorrectly supplied. Any replacement, repair, credit, refund or other remedy is determined under the accepted order terms and applicable law.
9. Resale and brand presentation
The Buyer must describe materials, makers, origins and techniques accurately and must not make misleading cultural, environmental, ethical, medical or performance claims. Provenance materials supplied with the products may be used to market genuine Qian Heritage stock but may not be altered in a way that misrepresents the maker or work. The Buyer may not present itself as Qian Heritage’s agent or exclusive representative without written agreement.
10. Intellectual property
Qian Heritage and its licensors retain rights in the website, trade names, copy, photography, collection materials and other brand assets. Approval as a wholesale account does not transfer ownership of those rights. Product imagery or brand assets may be used only for the authorised promotion and resale of genuine products and may be withdrawn or replaced on reasonable notice.
11. Events outside reasonable control
Neither party is responsible for delay or failure caused by events outside its reasonable control, such as severe weather, transport interruption, epidemic, government action, conflict, material shortage or disruption affecting an artisan or workshop. The affected party should communicate promptly and take reasonable steps to reduce the impact.
12. Liability, governing law and disputes
Nothing in these Terms excludes rights or liabilities that cannot lawfully be excluded. Any order-specific warranty, remedy or limitation of liability in an accepted quotation, order confirmation or separate supply agreement takes priority.
- Orders sold by EZLRN LLC are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. The Buyer and EZLRN LLC submit to the exclusive jurisdiction of the state and federal courts located in Wyoming.
- Orders sold by 贵州易思学文化有限公司 are governed by the laws of the People’s Republic of China. Disputes are submitted to the competent court at the Seller’s registered domicile, unless the accepted order documents state another lawful forum.
Before accepting an order, Buyers should raise any required legal, compliance or procurement terms for written review.
13. Changes and contact
We may update these website Terms for future transactions. Changes do not retrospectively alter an already accepted order unless both parties agree in writing. Questions may be sent to hello@qianheritage.com.
These website Terms are a general wholesale framework. The accepted quotation, order confirmation, invoice or signed supply agreement controls where it contains more specific or different terms.
